1. Acceptance; Binding Terms

By accessing, downloading, receiving, or using the TruValue Report (“TVR” / the “Report”), you acknowledge that you have read, understand, and agree to these Full Limits of Use & Disclaimer (“Disclaimer”). If you do not agree, do not use the Report.

2. Informational Purposes Only; No Advice

The Report is provided solely for informational and general planning purposes. It does not constitute legal, tax, accounting, investment, brokerage, or other professional advice. You should consult qualified professionals before making any decision based on the Report.

3. No Fiduciary/Advisory Relationship; No Duty

The Company is not acting as your fiduciary, agent, broker, investment adviser, attorney, accountant, or financial advisor in providing the Report. No professional-client or advisory relationship is created by delivery or use of the Report. You agree the Company owes no duty of care to you or to any third party with respect to the Report, except to the extent such duty cannot be disclaimed under applicable law.

The Company relies on information provided by you and/or third-party sources believed to be reliable. The Company does not independently verify, audit, or validate such information and assumes no responsibility for inaccuracies, omissions, or inconsistencies. Errors, incomplete inputs, or changes in circumstances may materially affect the Report.

6. Forward-Looking Statements; No Guarantee

The Report may contain assumptions, forecasts, projections, and other forward-looking statements. No third party is an intended beneficiary of the Report, and no third party may rely on it.

9. Intellectual Property; Limited License

The Report (including its format, structure, templates, scoring, models, methodologies, and analytical techniques) is proprietary to the Company and protected by applicable intellectual property laws. You receive a limited, revocable, non-transferable license to use the Report solely for your internal planning purposes, subject to this Disclaimer. All rights not expressly granted are reserved.

10. Disclaimer of Warranties

THE REPORT IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including any warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability (Free Report)

To the maximum extent permitted by law, in no event shall the Company (or its owners, officers, directors, employees, contractors, or affiliates) be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, or business opportunity, arising out of or relating to the Report or its use, even if advised of the possibility of such damages.

AGGREGATE CAP: Because the Report is provided at no charge, the Company’s total aggregate liability arising out of or relating to the Report shall not exceed $250.

CARVE-OUT: This limitation does not apply to liability to the extent it cannot be limited under applicable law (e.g., intentional misconduct or fraud).

12. Non-Reliance; Assumption of Risk

You acknowledge and agree that you will not rely on the Report as the sole basis for any decision, that you will perform your own independent analysis and due diligence, and that you assume all risk associated with decisions made in connection with the Report.

13. Updates; No Obligation to Revise

The Report speaks only as of its date. The Company has no obligation to update, revise, or reaffirm the Report due to new information, changed circumstances, or subsequent events.

14. Governing Law; Venue

This Disclaimer and any dispute arising out of or relating to the Report shall be governed by the laws of the State of Georgia, without regard to conflicts-of-law principles. You agree that exclusive venue for any action shall lie in the state or federal courts located in Forsyth County, Georgia, and you consent to personal jurisdiction there.

15. Severability; No Waiver; Priority

If any provision of this Disclaimer is held invalid or unenforceable, the remaining provisions remain in full force and effect. No waiver is effective unless in writing. If you have a signed engagement agreement with the Company, that agreement controls in the event of a conflict.
